Adi Shakti LLC — In-Person & Virtual Programs

These Terms and Conditions (“Terms”) govern purchases, enrollments, and bookings made with Adi Shakti LLC (“Company,” “we,” “us,” or “our”) for both in-person and virtual programs.
Certain provisions apply specifically to either In-Person Programs or Virtual Programs and are identified accordingly. Unless otherwise stated, all provisions apply to every purchase.
By completing a purchase, paying a deposit or installment, and/or checking the consent box at checkout, the client (“Client,” “Participant,” or “you”) acknowledges that they have read, understood, and agreed to these Terms.
1. Booking and Enrollment
A booking or enrollment is confirmed when Adi Shakti LLC receives the required payment or deposit and provides written confirmation of enrollment.
Your booking is subject to the version of these Terms in effect on the date your booking is confirmed.
2. Payments
2.1 Deposits
The required deposit is determined by the payment option selected at enrollment.
Unless expressly stated otherwise in writing, all deposits and payments are non-refundable.
All prices are stated and charged in U.S. dollars. Any applicable taxes are the Client’s responsibility unless otherwise stated.
In-Person Programs:
Deposits and other eligible transferred funds expire two (2) years from the original booking date. Subject to the cancellation provisions below, eligible amounts may be transferred toward another Adi Shakti LLC program before expiration.
Virtual Programs:
Payments may be transferred to another program only when cancellation occurs before access to program materials has been granted. Once access has been provided, payments are non-refundable and non-transferable.
2.2 Payment Plans
A payment plan is a financing arrangement for the total purchase price of a program. It is not a subscription or cancel-anytime arrangement.
By selecting a payment plan, the Client agrees to pay the full purchase price according to the payment schedule selected at enrollment.
Cancellation, withdrawal, nonattendance, failure to participate, or failure to complete a program does not automatically cancel the Client’s remaining payment obligations except where expressly stated in these Terms or agreed to by Adi Shakti LLC in writing.
In-Person Programs:
All amounts paid are non-refundable. If cancellation occurs more than sixty (60) days before the program start date, amounts already paid may be transferred to a future program, subject to the two-year expiration period.
If cancellation occurs sixty (60) days or fewer before the program start date, all amounts paid are forfeited and are neither refundable nor transferable.
Virtual Programs:
Once access to program materials has been provided, the Client remains responsible for the full agreed purchase price regardless of participation or completion.
3. Cancellation
3.1 Cancellation by Client
All cancellation requests must be submitted in writing.
In-Person Programs:
All cancellations are non-refundable.
If cancellation occurs more than sixty (60) days before the program begins, eligible amounts already paid may be transferred toward a future program.
If cancellation occurs within sixty (60) days of the program start date, all amounts paid are forfeited and cannot be refunded or transferred.
Clients are strongly encouraged to purchase comprehensive travel insurance, including Cancel for Any Reason (“CFAR”) coverage where available.
Virtual Programs:
Payments are non-refundable.
Before access to program materials is granted, payments may be eligible for transfer to another program.
Once access has been granted, payments are non-refundable and non-transferable, and any remaining payment-plan obligations continue to apply.
3.2 Cancellation by Adi Shakti LLC
Adi Shakti LLC reserves the right to cancel a program.
Except in circumstances involving Force Majeure:
In-Person Programs: Clients will be offered either:
Transfer to a substitute program;
A refund of amounts paid for the canceled program; or
Where mutually agreed, participation in a substitute program of different value.
Virtual Programs: Clients will be offered either:
Transfer to a substitute program; or
A refund of amounts paid for the canceled program.
Adi Shakti LLC is not responsible for airfare, accommodations, transportation, lost wages, or other incidental or consequential expenses associated with a canceled program.
4. Program Dismissal
Adi Shakti LLC reserves the right to remove a participant whose conduct violates program requirements, applicable law, community standards, safety expectations, or materially interferes with the experience or safety of other participants.
Dismissal does not entitle the participant to a refund.
For In-Person Programs, Adi Shakti LLC may also restrict or discontinue participation when reasonably necessary to protect the health or safety of the participant, staff, or other attendees.
5. Travel Insurance — In-Person Programs
Participants are required to obtain comprehensive travel insurance appropriate for their trip.
Coverage should include, where available:
Trip cancellation
Trip interruption
Trip delay
Baggage and personal belongings
Emergency medical expenses
Emergency evacuation and repatriation
Adi Shakti LLC strongly recommends purchasing Cancel for Any Reason (“CFAR”) coverage when available.
Clients are solely responsible for understanding the terms, exclusions, deadlines, and coverage of their insurance policies.
6. Emergency Medical Care — In-Person Programs
In an emergency, participants authorize Adi Shakti LLC and its representatives to take reasonable steps to assist in obtaining necessary medical treatment.
The Client remains responsible for medical, transportation, evacuation, hospitalization, or other expenses not covered by insurance.
Adi Shakti LLC may contact the emergency contact supplied by the participant when reasonably necessary.
7. Health and Medical Responsibility — In-Person Programs
Participants are responsible for determining whether they are physically, mentally, and medically able to participate and travel safely.
Adi Shakti LLC does not provide medical advice.
Participants are responsible for disclosing information or requesting accommodations they believe are necessary for safe participation. Adi Shakti LLC may attempt to accommodate reasonable requests but cannot guarantee that every accommodation will be available.
8. Certification — Virtual Programs
Where a program offers certification, participants must satisfy all applicable attendance, coursework, practice, assessment, and completion requirements within the stated deadlines.
Failure to satisfy certification requirements may result in the participant not receiving certification, regardless of payment status.
9. Unused Services
No refund, credit, or compensation will be provided for services, sessions, accommodations, activities, materials, or other program components missed or unused due to the Client’s choices, absence, late arrival, early departure, or failure to participate.
10. Program Changes and Flexibility
Participants acknowledge that programs may require reasonable modifications due to circumstances that arise before or during delivery.
In-Person Programs:
Locations, accommodations, activities, teachers, schedules, transportation arrangements, and itineraries may change because of weather, safety, availability, local conditions, or other circumstances.
Virtual Programs:
Session dates, instructors, platforms, curriculum sequencing, and live or recorded delivery formats may reasonably change.
Reasonable program modifications do not automatically constitute cancellation of the program or entitle a Client to a refund.
11. Discounts and Promotions
Discounts, scholarships, credits, and promotional pricing are offered at Adi Shakti LLC’s discretion and may be subject to separate conditions.
Unless expressly stated otherwise, promotional pricing applies only to new bookings made during the applicable promotional period.
12. RELEASE OF LIABILITY AND ASSUMPTION OF RISK
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Participation in Adi Shakti LLC programs may involve inherent and unforeseen risks.
To the fullest extent permitted by applicable law, the Client voluntarily assumes the risks associated with participation and releases and waives claims against Adi Shakti LLC and its owners, employees, contractors, facilitators, and agents arising from participation in a program, except to the extent liability results from gross negligence, willful misconduct, or another form of liability that cannot legally be waived.
For In-Person Programs, these risks may include those associated with travel, transportation, physical activity, yoga and movement practices, food, environmental conditions, excursions, outdoor activities, and activities or services provided by third parties.
Nothing in these Terms waives rights or liabilities that cannot legally be waived.
13. Limitation of Liability
To the fullest extent permitted by law, Adi Shakti LLC will not be responsible for indirect, incidental, special, consequential, or third-party losses arising from participation in or inability to participate in a program.
Where liability exists and cannot otherwise legally be excluded, Adi Shakti LLC’s aggregate liability will not exceed the amount actually paid by the Client for the applicable program.
14. Client Responsibility and Indemnification
Clients are responsible for their own conduct and must comply with applicable laws, program requirements, and reasonable safety instructions.
To the fullest extent permitted by law, the Client agrees to indemnify and hold harmless Adi Shakti LLC, its owners, employees, contractors, and agents from third-party claims, losses, damages, or reasonable expenses arising directly from the Client’s unlawful acts, negligence, intentional misconduct, material violation of these Terms, or harm caused by the Client to another person or property.
15. Force Majeure
Adi Shakti LLC will not be liable for failure, delay, alteration, postponement, or cancellation caused by circumstances beyond its reasonable control (“Force Majeure Events”).
These may include natural disasters, severe weather, pandemics or public-health emergencies, government actions or travel restrictions, war, terrorism, civil unrest, labor disruptions, transportation interruptions, venue unavailability, or similar circumstances beyond the Company’s reasonable control.
Adi Shakti LLC is not responsible for resulting airfare, accommodations, transportation, lost wages, or other personal expenses.
If a program is materially affected by a Force Majeure Event, amounts paid remain subject to the cancellation and transfer provisions applicable to the Client’s program type. The ordinary cancellation-by-Company provisions in Section 3.2 do not apply to Force Majeure Events.
16. Minors
Participants must be at least eighteen (18) years old unless Adi Shakti LLC expressly permits minors to participate in a specific program.
When a minor is permitted to participate, a parent or legal guardian must complete the booking, agree to applicable Terms on the minor’s behalf, and complete any additional consent or liability documentation required by Adi Shakti LLC.
17. Intellectual Property
All curricula, teachings, course materials, recordings, videos, written materials, frameworks, graphics, downloads, and other proprietary program content remain the intellectual property of Adi Shakti LLC or the applicable rights holder.
Unless expressly authorized in writing, participants may not reproduce, distribute, sell, publish, publicly share, teach from, commercially exploit, or create derivative works from protected program materials.
This provision survives completion, cancellation, or termination of participation.
18. Client Conduct
Clients must comply with applicable laws and reasonable program policies.
Adi Shakti LLC may restrict or terminate participation when a Client engages in unlawful, dangerous, threatening, abusive, materially disruptive, or destructive conduct.
Clients are responsible for costs associated with damage they cause to property or third parties.
19. Travel Documents — In-Person Programs
Participants are solely responsible for obtaining and maintaining valid passports, visas, permits, vaccinations, health documentation, and any other documentation required for travel or entry into the applicable destination.
20. Complaints and Concerns
Clients should promptly communicate concerns or complaints to Adi Shakti LLC so the Company has a reasonable opportunity to address them.
Failure to promptly report an issue may limit Adi Shakti LLC’s ability to remedy it.
21. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.
The remaining provisions will continue in full force and effect.
22. Parties Bound
These Terms are binding upon and benefit Adi Shakti LLC and the Client, as well as their respective permitted successors, representatives, and assigns.
23. Media Release
Unless otherwise agreed in writing, participants acknowledge that photography, video, or audio recording may occur during programs.
Where legally permitted and subject to any separate consent requirements applicable to the program, participants authorize Adi Shakti LLC to use authorized recordings for educational, documentary, promotional, and marketing purposes.
24. Changes to These Terms
Adi Shakti LLC may revise these Terms from time to time.
Unless required by law or expressly agreed to in writing, revisions apply only to bookings confirmed on or after the effective date of the revised Terms.
A Client’s confirmed booking remains governed by the version of the Terms applicable when that booking was confirmed.
25. Entire Agreement and Program-Specific Documents
These Terms, together with the Client’s booking confirmation and any applicable enrollment agreement, payment agreement, program-specific waiver, scholarship agreement, or other document expressly incorporated into the booking, constitute the agreement between Adi Shakti LLC and the Client regarding the applicable program.
If a program-specific written agreement expressly states that one of its provisions supersedes these Terms, the program-specific provision will control with respect to that issue.
26. Notices
Formal notices permitted or required under these Terms may be delivered by email.
Notices sent by Adi Shakti LLC may be delivered to the email address supplied by the Client during enrollment.
Clients may send notices to the contact address identified below.
27. Assignment
Adi Shakti LLC may assign or transfer its rights or obligations under these Terms in connection with a merger, acquisition, restructuring, or sale of all or substantially all of its business or applicable assets.
Clients may not assign their rights under these Terms without prior written consent from Adi Shakti LLC.
28. Governing Law and Venue
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-law principles.
To the extent permitted by applicable law, disputes arising from these Terms or a program booking will be brought in the appropriate state or federal court with jurisdiction in Morgan County, Indiana.
29. Electronic Signature and Consent
By checking the consent box at checkout or otherwise electronically accepting these Terms, the Client intends to provide an electronic signature and agrees to the use of electronic records and communications in connection with their booking.
Electronic acceptance is intended to have the same force and effect as a handwritten signature to the extent permitted by applicable law.
Clients may request a copy of the Terms applicable to their booking by contacting Adi Shakti LLC.
30. Booking for Another Person
If a Client purchases or books participation for another person, the Client is responsible for ensuring that the additional participant receives and agrees to all applicable Terms, waivers, releases, and program requirements.
Where required, the additional participant must separately provide their own consent before participating.

Notices sent by Adi Shakti LLC may be delivered to the email address supplied by the Client during enrollment.

27. Assignment
Adi Shakti LLC may assign or transfer its rights or obligations under these Terms in connection with a merger, acquisition, restructuring, or sale of all or substantially all of its business or applicable assets.
Clients may not assign their rights under these Terms without prior written consent from Adi Shakti LLC.
28. Governing Law and Venue
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-law principles.
To the extent permitted by applicable law, disputes arising from these Terms or a program booking will be brought in the appropriate state or federal court with jurisdiction in Morgan County, Indiana.
29. Electronic Signature and Consent
By checking the consent box at checkout or otherwise electronically accepting these Terms, the Client intends to provide an electronic signature and agrees to the use of electronic records and communications in connection with their booking.
Electronic acceptance is intended to have the same force and effect as a handwritten signature to the extent permitted by applicable law.
Clients may request a copy of the Terms applicable to their booking by contacting Adi Shakti LLC.
30. Booking for Another Person
If a Client purchases or books participation for another person, the Client is responsible for ensuring that the additional participant receives and agrees to all applicable Terms, waivers, releases, and program requirements.
Where required, the additional participant must separately provide their own consent before participating.
